Terms of Service (English — reference translation)

Preamble
These Terms of Service (the "Terms") govern the relationship between the Japanese Student Club (KVK no. 42035208; the "Club") and Users in relation to the Club's member web platform (the "Service").
Article 1 (Definitions)
(1) "User" — anyone who uses the Service; (2) "member" — a User who has completed registration, including free and paying (subscription) members; (3) "subscription" — the paid membership tied to the academic cycle; (4) "Content" — photos, text, logo, designs and all information the Club provides in the Service; (5) "partner shop" — a business partnered with the Club to offer member benefits.
Article 2 (Application and acceptance)
- These Terms apply to all matters between the Club and Users relating to the Service.
- By completing registration or using the Service, a User is deemed to accept these Terms. Users who do not accept must not use the Service.
Article 3 (Eligibility)
- The Service is for students in and around Amsterdam and is limited to persons aged 18 or over.
- Members keep their details accurate and current; the Club may ask for confirmation each July.
- The Club may decide on registration at its reasonable discretion.
Article 4 (Accounts)
- Login uses email plus a verification code, or an external account approved by the Club.
- Users manage their account with due care and must not lend, transfer or share it.
- Users are liable for loss arising from inadequate account management, misuse, or third-party use, except where caused by the Club's intent or gross negligence.
Article 5 (Subscriptions)
- Subscriptions follow the academic cycle and expire on 31 August each year; they do not auto-renew.
- Prices vary by period and are as displayed in the Service; the displayed price applies.
- Subscription fees are charged as a one-time payment under Article 6.
- The Club may change prices or benefits for future cycles; changes do not apply retroactively to an active subscription.
- A subscription is a distance contract, and consumers have a 14-day right of withdrawal from the start date, even where the User consented at sign-up to immediate use of benefits.
(a) If the User withdraws within 14 days and has not used any benefit (event attendance, photo purchase, discount coupon, etc.), the Club refunds the full amount paid.
(b) If the User withdraws within 14 days but has already used such benefits, the Club refunds the amount paid less a proportionate deduction for the elapsed period and the value of benefits used.
(c) After 14 days the right of withdrawal lapses and no refund is given, save where mandatory consumer rights apply.
Article 6 (Payments)
- All payments are processed via Stripe; the Club does not hold card data.
- Prices are in euro (EUR) and include any applicable tax; the Club charges no fees beyond the displayed price.
- The Club may void an order where payment does not complete.
Article 7 (Events)
- Events have limited capacity, allocated on a first-come or stated basis.
- Prices depend on member type, within the Club's member and subscriber price caps.
- Allergy/dietary information, if provided, must be accurate. The Club makes reasonable accommodations but does not guarantee complete food safety.
- The Club may change or cancel events for weather, venue, insufficient numbers or other unavoidable reasons. Where the Club cancels, it will — at the User's choice — refund the fee in full or transfer it to another event.
- Events are leisure/cultural activities provided on a specific date and are exempt from the statutory consumer right of withdrawal (Dutch Civil Code Art. 6:230p). No refund is given for User no-shows (including unannounced absence).
Article 8 (Tickets)
- Event admission is issued as an encrypted electronic ticket (QR code) that must be shown at check-in.
- Resale, duplication and misuse are prohibited; the Club may void tickets found to be misused.
Article 9 (Photos)
- Photo previews are watermarked. Members may purchase high-resolution files for personal use.
- Redistribution, distribution, commercial use and sharing with third parties are prohibited.
- Subscribers may receive a Club-defined number of free downloads per event.
- By attending an event, Users accept that photographs may be taken and may be published and sold within the Service. Anyone who does not wish to appear can be excluded from future publication by contacting privacy@jsc-amsterdam.nl.
- A consumer member may withdraw from a photo purchase within 14 days of purchase; to do so, contact contact@jsc-amsterdam.nl, and the Club will refund the amount paid.
Article 10 (Partner benefits)
- Subscribers may receive discounts or other benefits at partner shops.
- Benefit terms follow each partner's rules and may change or end without notice; the Club is not responsible for partners' goods or services.
Article 11 (Referrals)
- On a valid referral, both referrer and new member may receive a Club-defined coupon (e.g. 20%).
- The Club may void coupons obtained through false, self- or duplicate referrals or other abuse.
Article 12 (Prohibited conduct)
Users must not: (1) breach law or public order; (2) infringe others' rights or engage in harassment or discrimination; (3) impersonate, register falsely, or use the Service by improper means; (4) gain unauthorised access, overload, or otherwise disrupt the Service; (5) copy, alter or redistribute Content without authorisation.
Article 13 (Intellectual property)
Copyright and all other IP in the Service and Content belong to the Club or its licensors. These Terms transfer no rights beyond those expressly granted.
Article 14 (User-provided information)
Information Users provide is handled under these Terms and the separate Privacy Policy. Users warrant that such information is accurate and does not infringe third-party rights.
Article 15 (Changes, suspension, termination of the Service)
The Club may change, temporarily suspend or terminate all or part of the Service for operational or technical reasons, and is liable for resulting loss only within Article 17.
Article 16 (Disclaimer of warranties)
The Service is provided "as is". The Club does not warrant fitness for a particular purpose, uninterrupted availability or freedom from defects, save for warranties that cannot be excluded for consumers by law.
Article 17 (Limitation of liability)
- To the maximum extent permitted by Applicable Law, the Club is not liable for indirect or special loss, lost profits or data loss arising from use or inability to use the Service.
- This Article does not limit or exclude liability for the Club's intent or gross negligence, for death or personal injury, or under mandatory consumer rights.
Article 18 (Indemnity)
Where the Club suffers loss due to a User's breach of these Terms or unlawful use of the Service, the User shall indemnify the Club to the extent permitted by Applicable Law.
Article 19 (Withdrawal and suspension)
- Members may withdraw at any time by contacting contact@jsc-amsterdam.nl; on receiving a withdrawal request and verifying identity, the Club processes the member's account as withdrawn.
- The Club may, with or without prior notice, suspend use or delete accounts where a User breaches these Terms or for other reasonable cause.
Article 20 (Force majeure)
The Club is not liable for non-performance caused by events beyond its reasonable control, including natural disasters, changes in law, communication failures, or failures of payment or cloud providers.
Article 21 (Notices and member communications)
- Notices from the Club to Users are given by posting in the Service or by email to the registered address.
- While a member, the User receives Club announcements (event invites, club news) at their registered email address. The User can stop these at any time via the unsubscribe link in each email or in My Page; however, essential communications necessary to maintain the membership relationship (such as changes to these Terms or the Privacy Policy) may still be sent. Promotional emails (partner deals and offers) are sent only to members who separately consent.
Article 22 (Assignment)
Users may not assign or encumber their position, rights or obligations under these Terms without the Club's prior written consent.
Article 23 (Severability, entire agreement, no waiver)
- If any provision is held invalid or unenforceable, the remaining provisions remain effective.
- These Terms constitute the entire agreement between the Club and Users regarding use of the Service.
- The Club's failure to exercise a right is not a waiver of it.
Article 24 (Changes to these Terms)
The Club may amend these Terms and will notify material changes in the Service or by email. For changes that are material and adverse to consumers, the Club gives reasonable advance notice before the effective date, and the User may withdraw before that date. Continued use after changes take effect constitutes acceptance.
Article 25 (Governing law, jurisdiction, language)
- These Terms are governed by Dutch law.
- Disputes are subject to the exclusive jurisdiction of the Rechtbank Amsterdam (Amsterdam District Court), without prejudice to any mandatory consumer jurisdiction.
- The Japanese version is authoritative; in case of discrepancy, the Japanese version prevails.
